Unlike an asset sale, in a share sale the only asset being transferred will be the shares of the seller company. This agreement will have the effect of transferring ownership of the seller company to the buyer. In the agreement the buyer will seek reassurances both about the actual shares being transferred and about the company being purchased and in particularly any liabilities it is taking over. Whereas in a asset sale the liabilities remain with the selling company, in a share sale all the liabilities as well as the assets of the company will move to the buying company. A share sale brings more finality to the selling party as they are left with nothing after the sale has been completed.
